MEMBERSHIP TERMS & CONDITIONS

Effective Date: January 12, 2026

1. MANDATORY LEGAL DISCLOSURE

THIS AGREEMENT IS NOT HEALTH INSURANCE. The health care provider will not file any claims against the patient's health insurance policy or plan for reimbursement of any health care services covered by this agreement. This agreement does not qualify as minimum essential coverage to satisfy the individual shared responsibility provision of the Patient Protection and Affordable Care Act, 26 U.S.C. s. 5000A.

2. NO REFUND & CANCELLATION POLICY

  • No Refunds: All membership fees are non-refundable. The $40.00 monthly fee is earned by the Provider upon receipt to cover administrative and clinical availability. No pro-rated refunds or credits will be issued for partial months.

  • Cancellation: You may cancel at any time via the Member Portal through square app. Upon cancellation, you will retain access to services until the end of your current paid billing cycle, after which the membership will automatically not be renewed.

3. PAYMENT & IMMEDIATE TERMINATION

  • Fee: The membership fee is $40.00 per month, billed every 30 days.

  • No Grace Period: Payment is due in full on your billing date. If the payment method on file is declined for any reason (insufficient funds, expired card, etc.), your membership will be automatically and immediately cancelled. Access to all medical services will be revoked instantly upon a failed transaction.

  • Price Changes: The Provider reserves the right to change the monthly fee. You will receive written notice at least thirty (30) days prior to any price adjustment.

4. SCOPE OF SERVICES & SUPPLY CLAUSE

The monthly fee covers routine primary care services as outlined in the "Included Services" list.

  • The Supply Clause: While professional medical time for covered procedures is included in your membership, the cost of surgical or medical supplies used during specific procedures (e.g., biopsy kits, specialized dressings, splints, or injectable medications) is not included. These supplies will be charged to the Member at the Provider's cost plus a small administrative fee. Member will be notified of any supply costs prior to the procedure.

5. TERMINATION OF CARE

  • By Provider (Without Cause): The Provider may terminate this agreement by giving the Member thirty (30) days’ written notice.

  • By Provider (With Cause): The Provider may terminate this agreement immediately for a violation of the physician-patient relationship, including abusive behavior, fraud, or consistent clinical non-compliance.

6. GOVERNING LAW

This Agreement is governed by the laws of the State of Florida. Any legal action arising from this Agreement shall be brought exclusively in the courts of Miami-Dade County, Florida.

 

SCOPE OF SERVICES

Plan Level: Standard Membership ($40/month)

1. Included Primary Care Services

The following services are covered by your monthly membership fee at no additional cost:

  • Unlimited Office Visits: Routine scheduled visits for acute and chronic care (by appointment).

  • Virtual Care (Telehealth): Video, phone, and secure messaging consultations during standard business hours.

  • Annual Wellness Exam: One comprehensive physical examination per year, including a review of medical history and preventative screenings.

  • Written and Online Rx Scripts and Referrals: Rx scripts NOT the actual medicine(s) are covered as well as referrals to any testing or specialist referrals. These are the documentations necessary for the services NOT the actual services themselves.

  • Chronic Disease Management: Ongoing oversight for conditions such as Hypertension, Diabetes, and Asthma.

  • Pre Employment Physical, School Notes: Pre Employment Physicals for work, Sick notes, School physicals for sports.

  • In-Office Testing (Basic):

    • Urinalysis

    • Blood Tests (Comprehensive Metabolic Panel, Complete Blood Count)

    • Rapid Covid or Flu tests (Subject to availability)

  • Basic Procedures:

    • Blood pressure monitoring.

    • Wound Care (Basic)

    • Pain management Injection

2. Enhanced Access Amenities

  • Same-Day/Next-Day Availability: Priority scheduling for urgent medical needs.

  • Extended Visit Times: Unhurried appointments (up to 30 minutes) to ensure all concerns are addressed.

  • Direct Provider Messaging: Secure portal access for non-emergency questions.

3. Member-Only Discounted Services

Services not included in the base fee but available to members at a significantly reduced wholesale rate:

  • Diagnostic Labs: Wholesale pricing on specific blood panels (Thyroid, Lipids, etc.) through our partner labs in Miami-Dade.

  • Imaging: Coordination and negotiated cash-pay rates for X-rays, ultrasound, echo.

  • Minor Procedures: Small fees may apply for supplies

4. Excluded Services (Not Covered)

The Member acknowledges that the following are NOT covered under this $40/month agreement:

  • Emergency Services: ER visits, ambulance transport, or hospitalization.

  • Specialist Care: Fees for cardiologists, surgeons, or any non-primary care provider.

  • Prescription Medications: The cost of drugs filled at external pharmacies.

  • Pathology: Costs for laboratory analysis of tissue samples (Biopsies).

  • Vaccinations: Certain specialized immunizations (unless otherwise specified).

Legal Integration (Florida Statute § 624.27)

This Scope of Services is incorporated into the Terms and Conditions signed on 1/12/2026. As a Direct Primary Care agreement in Miami-Dade County, any service provided outside of Section 1 and Section 2 will incur an additional charge, for which the Member will be notified prior to the service being rendered.
